These Institutional Access Terms and Conditions (“Institutional Terms”) govern access to the MCATalyst Content Workshop provided through a participating college, university, pre-health program, student organization, nonprofit organization, pipeline program, educational program, or other approved organization (“Institution” or “Program”).
These Institutional Terms supplement the general MCATalyst Terms and Conditions of Use and MCATalyst Privacy Policy. All provisions of those agreements continue to apply to users receiving Institutional Access unless these Institutional Terms expressly provide a different rule for Institutional Access.
In these Institutional Terms, “MCATalyst,” “we,” “us,” and “our” refer to MCATalyst Prep LLC. “You,” “student,” and “user” refer to the person receiving or attempting to receive Institutional Access.
By claiming an Institutional Access seat, verifying an institutional email address, selecting a checkbox indicating your agreement, or using the Services through Institutional Access, you acknowledge that you have read, understood, and agreed to these Institutional Terms, the MCATalyst Terms and Conditions of Use, and the MCATalyst Privacy Policy.
If you do not agree to these Institutional Terms, you may not claim or use Institutional Access.
MCATalyst may provide eligible students with access to some or all portions of the MCATalyst Content Workshop through participating Institutions or Programs (“Institutional Access”).
Institutional Access may be provided:
Institutional Access provides access only to the courses, tools, features, and services included in the applicable Institution or Program’s current access arrangement.
Institutional Access does not create ownership rights in any MCATalyst content, software, service, or intellectual property.
Institutional Access is available only to users who meet the eligibility requirements established for the applicable Institution, Program, and access period.
By claiming Institutional Access, you represent that:
Possession of an Institutional Access link does not by itself establish eligibility.
MCATalyst may require users to verify an approved school, university, program, organization, or other institutional email address before Institutional Access is activated.
Eligibility may be determined through:
An email address passing a domain check does not by itself activate access. When email verification is required, you must successfully demonstrate control of the email address by completing the verification process.
MCATalyst may contact an Institution or Program when reasonably necessary to verify eligibility, investigate suspected misuse, or resolve an Institutional Access issue.
An institutional email address used to claim Institutional Access may be associated with only one MCATalyst user account for purposes of Institutional Access.
You may not use the same institutional email address to obtain Institutional Access for multiple MCATalyst accounts.
You may not:
If Institutional Access is accidentally attached to the wrong MCATalyst account, MCATalyst may transfer the Institutional Access membership to the correct account when appropriate.
The restriction against associating an institutional email address with multiple MCATalyst accounts does not prevent the same eligible student from receiving Institutional Access again during a future access period.
If an Institution or Program continues its relationship with MCATalyst, a student who previously received Institutional Access may be eligible to receive another access period through the same MCATalyst account.
Eligibility for a future access period is not guaranteed and may depend on:
Institutional Access may be subject to a limited number of seats allocated to a particular Institution or Program.
Receiving an Institutional Access link, possessing an eligible institutional email address, beginning the verification process, or receiving information about the Institutional Access program does not guarantee that a seat will remain available.
A seat is considered claimed only when all required eligibility and verification steps have been completed and Institutional Access has successfully been activated.
If all available seats have already been claimed, MCATalyst may prevent additional users from beginning or completing the Institutional Access claim process.
Students may contact the institutional contact displayed on the applicable Institutional Access page if they have questions regarding seat availability or eligibility.
Each Institutional Access arrangement includes an individual access duration established by MCATalyst and the applicable Institution or Program.
Unless otherwise displayed or communicated, Institutional Access may provide up to nine months of access beginning on the date the student successfully activates the Institutional Access seat.
The specific access duration applicable to you will be displayed or otherwise communicated during activation, within your account, or through an Institutional Access communication.
Once Institutional Access has been successfully activated, MCATalyst will provide access for the applicable individual access period, subject to any Claim Deadline, Hard Access End Date, or other program-specific limitation disclosed for that Institutional Access arrangement.
MCATalyst will not remove an activated student’s Institutional Access before the applicable access expiration date except when the student violates these Institutional Terms or the general MCATalyst Terms and Conditions of Use, or when another circumstance reasonably requires early removal. If MCATalyst proposes to remove Institutional Access early for a reason other than a violation of those terms, MCATalyst will contact the applicable institutional access contact before removing that access.
Different Institutions, Programs, or access periods may provide different access durations.
An Institution or Program may have a deadline by which eligible students must claim Institutional Access.
If a Claim Deadline applies:
A Claim Deadline affects the ability to begin or complete a new Institutional Access claim. It is separate from an individual student’s access expiration date.
Certain Institutional Access arrangements may include a program-wide Hard Access End Date.
If a Hard Access End Date applies, your Institutional Access will end on the earlier of:
This means that a student may receive less than the otherwise available individual access duration if the Institution or Program’s current access period ends first.
For example, if a student would ordinarily receive nine months of access but the applicable Institutional Access period ends sooner, the student’s Institutional Access may end on that earlier program-wide date.
Your applicable Institutional Access expiration date will be displayed or otherwise made available through your account, activation confirmation, Institutional Access page, email communication, or another reasonable method.
Institutional Access does not automatically renew.
Participation by an Institution or Program during one academic year, calendar year, semester, or other access period does not guarantee that MCATalyst Institutional Access will be available through that Institution or Program in the future.
If your Institutional Access ends because:
you may be eligible to receive Institutional Access again if the Institution or Program participates in a future MCATalyst access period.
A future Institutional Access arrangement may have different:
Activating Institutional Access does not automatically cancel, pause, modify, refund, or otherwise affect an existing paid MCATalyst subscription, fixed-term package, Premium subscription, or other paid product.
If you already have a paid MCATalyst membership when Institutional Access is activated, both forms of access may exist on your account at the same time.
If you no longer want your paid recurring membership after receiving Institutional Access, you are responsible for canceling that membership through the applicable account or subscription-management process.
Receiving Institutional Access does not automatically entitle you to:
Paid memberships and Institutional Access remain separate access sources.
A user may have more than one valid source of MCATalyst access at the same time, including:
The expiration, suspension, or termination of Institutional Access ends only the Institutional Access entitlement unless another provision of the general MCATalyst Terms independently permits broader account suspension or termination.
If another valid access source continues to provide access after Institutional Access ends, your account may continue to access the courses or features provided by that other access source.
Institutional Access:
If an Institutional Access seat expires or is unused, the student is not entitled to receive money, account credit, additional access time, or another financial benefit in exchange for the unused portion.
Institutional Access includes only the courses, subjects, services, tools, and features designated for the applicable Institution, Program, and access period.
Different institutional arrangements may include different portions of the MCATalyst Content Workshop.
Institutional Access does not automatically include:
MCATalyst may update, revise, reorganize, replace, add, or remove Course content and features in accordance with the general MCATalyst Terms and Conditions of Use.
Institutional Access is personal to the approved user.
You may not:
Institutional users remain subject to all account-security, licensing, intellectual-property, redistribution, and acceptable-use restrictions contained in the general MCATalyst Terms and Conditions of Use.
MCATalyst may suspend, revoke, transfer, or terminate Institutional Access when reasonably necessary, including when:
Except where suspension, revocation, or termination results from a violation of these Institutional Terms or the general MCATalyst Terms and Conditions of Use, MCATalyst will contact the applicable institutional access contact before removing a student’s Institutional Access prior to the student’s otherwise applicable access expiration date.
For administrative errors, MCATalyst may transfer or restore an Institutional Access seat when appropriate.
Revocation of Institutional Access does not automatically terminate another independently valid MCATalyst entitlement unless there is a separate basis for doing so under the general MCATalyst Terms and Conditions of Use.
Providing Institutional Access through a college, university, organization, or Program does not by itself mean that the Institution:
Unless expressly stated otherwise in a separate written agreement, MCATalyst remains an independent educational service provider.
Questions concerning MCATalyst educational content or technical operation should generally be directed to MCATalyst. Questions concerning institutional eligibility, seat allocation, or the Institution’s participation may be directed to the institutional contact identified on the applicable Institutional Access page.
Institutional Access arrangements may change or end because of decisions by MCATalyst, the participating Institution or Program, or both.
Subject to applicable law and any applicable written agreement, MCATalyst may modify future Institutional Access arrangements, including:
Changes to future access periods do not guarantee or create any right to continued Institutional Access.
MCATalyst may collect and maintain information reasonably necessary to administer Institutional Access, including:
The collection, use, processing, disclosure, retention, and protection of personal information are further described in the MCATalyst Privacy Policy.
MCATalyst may provide participating Institutions or Programs with aggregate or administrative information reasonably related to their Institutional Access allocation.
This may include information such as:
MCATalyst does not currently provide participating Institutions with routine access to an individual student’s quiz answers, scores, detailed Course progress, study activity, or other individualized academic performance information solely because the student receives Institutional Access.
Individual information may nevertheless be disclosed when:
If you submit a review, rating, testimonial, survey response, or other feedback while receiving or after having received Institutional Access, MCATalyst may internally associate that feedback with your Institution, Program, or Institutional Access period for purposes such as:
Your institutional affiliation will not automatically be displayed publicly with a review solely because you received Institutional Access, unless that disclosure is separately presented to you, authorized by you, or otherwise permitted under the MCATalyst Privacy Policy.
Submission of a review or positive feedback is not required to receive Institutional Access unless a specific program expressly and lawfully states otherwise before access is claimed.
MCATalyst does not guarantee that any Institution or Program will continue participating in Institutional Access after the current access period.
MCATalyst also does not guarantee:
A future Institutional Access arrangement may be complimentary, institution-funded, sponsored, paid, or structured differently from a prior arrangement.
Claiming Institutional Access does not by itself enroll you in a new paid MCATalyst subscription or authorize MCATalyst to begin charging you for standard Institutional Access when the Institutional Access period expires.
If Institutional Access expires, you will not automatically be converted into a paid subscription solely because the Institutional Access period ended.
If you separately purchase a paid MCATalyst product or already maintain a paid subscription, that purchase remains subject to the payment, billing, renewal, cancellation, and refund provisions of the general MCATalyst Terms and Conditions of Use.
You consent to receive electronic communications reasonably related to Institutional Access, including:
Electronic communications may be delivered through email, account notifications, notices within the Course, or other reasonable electronic methods.
You are responsible for maintaining accurate contact information and reviewing communications relating to your Institutional Access.
MCATalyst may update these Institutional Terms to reflect:
Updated Institutional Terms will identify a revised “Last Updated” date.
When a change is material, MCATalyst may provide notice through email, within the Course, during a future Institutional Access claim, or through another reasonable method.
MCATalyst may require users to affirmatively accept an updated version before claiming a new Institutional Access period or continuing to use certain Institutional Access benefits.
These Institutional Terms supplement and do not replace the MCATalyst Terms and Conditions of Use.
The general MCATalyst Terms continue to govern matters including:
If these Institutional Terms conflict with the general MCATalyst Terms concerning a matter specifically relating to Institutional Access, these Institutional Terms will control for that Institutional Access issue.
If the terms displayed or communicated for a specific Institutional Access period clearly provide a different seat allocation, access duration, Claim Deadline, Hard Access End Date, included Course access, or other program-specific term, the specific terms communicated for that Institutional Access period will control with respect to that program-specific detail.
The governing-law, jurisdiction, informal dispute-resolution, limitation-of-liability, and related provisions contained in the general MCATalyst Terms and Conditions of Use are incorporated into these Institutional Terms.
Unless applicable law requires otherwise, these Institutional Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.
Your electronic acceptance of these Institutional Terms has the same effect as a physical signature to the extent permitted by law.
